Samsung Mobile Business Event Terms and Conditions

These terms and conditions set out below (“Terms”) govern your registration for and participation at any Samsung Mobile Business Event (“Business Service”) and constitute a legally binding agreement between Samsung Electronics Co., Ltd. (“Samsung”, “we”, “us” or “our") and you. Accessing these Terms means you agree to the Terms and Conditions below. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE OR ACCESS THE SITE.

1. Event Registration.

You may only register for and participate in the Business Service in accordance with these Terms. In order to register for the Business Service, you must complete the Business Service registration process. During registration, you will be required to provide contact information including name, email address to be used as a user ID. Samsung reserves the rights to reject or remove any user ID. Event registration is subject to availability and may close earlier than the posted deadline, as determined in our sole discretion. We may also change the Business Service program at any time in our sole discretion. You confirm that the information you have provided in the Business Service registration process is truthful, accurate and up to date. Otherwise, we may cancel your registration in our sole discretion.

2. Safety and Security.

We reserve the right to refuse, suspend, or limit access to the Business Service. We also reserve the right to ask you to leave in case of concern for the safety or security of the Business Service. You understand that you and your property may be subject to a reasonable search upon entry to the Business Service.

3. Cancellation and Termination.

3.1

Cancellation by You. You may request cancelling participation of the Business Service at any time for reasons by providing written notice to Samsung Event team or Samsung’s local sales representatives.

3.2

Cancellation by Samsung. We may cancel the Business Service or your Event registration at any time for any reason. We are not responsible for any direct or indirect damages, resulting from such cancellation.

3.3

Effect of Cancellation. If you or Samsung cancel your registration for the Business Service or Samsung cancels the Business Service, Section 3.3, 4, 5, 6, 7, 10 and 11, will remain in full force and effect.

3.4

Termination. Samsung may terminate these Terms and your right to access the Business Service at its sole and exclusive discretion with or without reasonable notice to you at any time. If you breach these Terms, Samsung reserves the right to immediately terminate these Terms and your access to the Business Service at its sole and exclusive discretion without prior notice.

4. Risk Assumption.

You acknowledge and agree that your registration, attendance and participation in the Business Service is voluntary, and you understand the nature of the Business Service. To the maximum extent permitted by law, you agree that it is your sole responsibility to bear all risks associated with attending and participating in the Business Service.

5. Indemnity and Release.

You agree to release Samsung and its affiliates, and their respective directors, officers, employees, contractors, representatives, agents, managers, licensors, successors and assigns (“Samsung Entities”) from any and all claims damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) that you may have in relation to the Business Service.

You agree to defend, indemnify and hold harmless Samsung Entities from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

(a) your registration, use and attendance of the Business Service;
(b) your violation of these Terms;
(c) your violation of any law, rule or regulation; and
(d) your violation of any third party rights any dispute you have with one or more of our users or any third party.

6. Disclaimers and Limitation of Liability.

6.1

Samsung expressly disclaims, to the maximum extent permitted by law, any and all warranties of any kind, whether express or implied with respect to or in relation to the Business Service, including without limitation, access availability and non-infringement of intellectual property rights.

6.2

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidential, special, consequential or punitive damages, or any loss of profit, revenue, goodwill, business, opportunity or data, whether incurred directly or indirectly, or any other intangible losses. In no event shall our aggregate liabiltiy for all claims relating to an event exceed the amount you paid us for such specific events. The limitations of this section shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence) or otherwise, and whether or not we have been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose, and even to any claims you may bring against any other party to the extent that we would be required to indemnify that party for such claim. You acknowledge and agree that these limitations are reasonable given the benefits of the events and you will accept such risk and/or insure accordingly. In any case, to the maximum extent permitted by law, Samsung and Samsung entities’ aggregate liability arising from or in connection with these terms or related matters shall not exceed the amount you paid Samsung or Samsung affiliates specifically for this event.

7. Severability and Integration.

These Terms and any supplemental terms, policies, rules and guidelines posted on this website (or other place owned/produced by us) constitute the entire agreement between you and Samsung and supersede all previous written or oral agreements. If any part of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent possible in accordance with applicable law to reflect the original intentions of the Parties, and the remaining portions shall remain in full force and effect.

8. Force Majeure.

We and our affiliates shall not be liable for any delay or failure to perform under these Terms due to or arising from causes or events beyond our reasonable control, including, but not limited to, acts of God, wars, terrorism, riots, embargoes, acts or orders of government authorities, pandemic, fire, typhoon, floods, earthquakes, or other elements of nature, political turmoil, industrial disturbances or power outages.

9. Governing Law.

These Terms and your relationship with us under these Terms will be governed and construed in accordance with the laws of the jurisdiction where you are a resident, without regard to its conflict of law provisions. These Terms will not be governed by the UN Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

10. Binding Arbitration.

All disputes, controversies or claims arising out of or in connection with these Terms (including its existence, validity or termination) shall be finally resolved by binding arbitration to be held in the Republic of Korea, and conducted in the English language under the Rules of Arbitration of the International Chamber of Commerce; provided, however, that each Party may enforce its or its affiliates’ intellectual property rights in any court of competent jurisdiction, including but not limited to equitable relief. The arbitral award shall be final and binding on the Parties. Except to the extent entry of judgment and any subsequent enforcement may require disclosure, all matters relating to the arbitration, including the award, shall be held in confidence.

11. General.

11.1

Modifications. You agree that Samsung may make improvements and/or changes in these Terms at any time without notice. The modified terms will become effective upon posting. By attending the Business Service after the effective date of any modifications to these Terms, you agree to be bound by the terms up to date. You agree that you must check these Terms regularly for modifications to these Terms.

11.2

No Waiver. Any failure or delay of Samsung in enforcing any part of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Samsung in writing. Your participation of the Business Service and/or use of related websites may be subject to any additional disclaimers and caveats that may appear throughout the website.

11.3

Assignment. You will not assign or otherwise transfer these Terms or any of your rights and obligations under these Terms, without our prior written consent of Samsung. Any assignment or transfer in violation of this section will be void.

11.4

English Language. If we provide a translation of the English version of these Terms, the English version of these Terms will control if there is any conflict.

11.5

Survival. Any provisions within these Terms that by its nature should continue to be in effect, including without limitation the following Sections: Disclaimers, Limitation of Liability, Indemnity and General, shall survive the expiration or termination of these Terms, and remain valid and binding.
